User Agreement
This User Agreement ("Agreement" or "Terms") is a contract between you and IdeaZation. It governs your use of our website and web application at www.theideazation.com and our iOS and Android mobile applications (together, the "Service").
IdeaZation is a collaborative idea-evaluation tool for weighing the pros, debating the cons, and raising the questions around new ideas. Please read this Agreement carefully. By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
1. Acceptance of these Terms
The Service is operated by IdeaZation, a product operated by Noor Bahr Al Uloom as an individual sole operator based in Redmond, Washington, United States ("IdeaZation," "we," "us," or "our"). IdeaZation is currently an unregistered trade name used while we validate the product in beta. By accessing or using the Service, you confirm that you can form a binding contract with us and that you accept these Terms on behalf of yourself and, if applicable, the organization you represent.
2. Eligibility & age
You must be at least 16 years old to use the Service. If you are between 16 and the age of majority where you live, you may use the Service only with the involvement and permission of a parent or legal guardian who agrees to these Terms on your behalf. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Your account
- You must provide accurate information when you register and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity that happens under your account.
- Notify us promptly at support@theideazation.com if you suspect any unauthorized use of your account.
- You may not share your account, or let anyone else use it, in a way that violates these Terms.
4. Beta service
The Service is currently offered free of charge as a beta while we test and improve it. This means it may contain bugs, may change or be interrupted, and features may be added, modified, or removed at any time. Data could be lost, and the Service may not always be available. Please do not rely on the Service as your only place to store important information, and do not submit anything you cannot afford to lose. If we introduce paid features in the future, we will present the applicable pricing and terms before you are charged.
5. Acceptable use & community rules
IdeaZation is built for constructive collaboration. You agree that you will not, and will not allow anyone else to, use the Service to:
- break any applicable law or regulation, or promote or facilitate illegal activity;
- use dangerous, threatening, violent, abusive, harassing, hateful, or otherwise illegal words or language, or content that incites or encourages harm against any person or group;
- violate the privacy of others — including posting, sharing, or collecting someone else's personal, confidential, or identifying information without their consent (for example, doxxing);
- bully, harass, defame, or impersonate any person or organization, or misrepresent your affiliation with anyone;
- upload or share content that infringes someone else's intellectual-property, privacy, or other rights;
- upload malware or harmful code, or attempt to hack, disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its systems;
- scrape, harvest, or collect data from the Service except as expressly permitted;
- send spam or unsolicited messages, or misuse collaboration or invitation features; or
- use the Service in any way that is harmful, deceptive, or that we reasonably consider abusive or inconsistent with its purpose.
You are solely responsible for the content you contribute and the way you use the Service.
6. Suspension & termination of your account
⚠ We reserve the right to suspend or delete accounts
IdeaZation reserves the right, at its sole discretion and with or without prior notice, to warn, restrict, suspend, or permanently delete your account and any associated content if we reasonably believe that you have:
- used dangerous, threatening, abusive, or illegal words or language, or otherwise failed to respect the values and community rules set out in Section 5;
- failed to respect the privacy of others, including sharing or collecting another person's information without their consent;
- violated any part of this Agreement, our Privacy Policy, or applicable law; or
- created a risk of legal exposure, harm, or abuse for IdeaZation, its users, or the public.
Where practical and appropriate we will give you notice and a chance to correct the issue, but we are not required to do so and may act immediately in serious cases.
If your account is suspended or terminated, your right to use the Service ends immediately, and we may delete your account and content in accordance with our Privacy Policy. We may also preserve or disclose information, and report activity to law-enforcement or other authorities, where we believe in good faith that it is necessary to comply with the law or to protect people. We will not be liable to you for suspending or terminating your account in accordance with these Terms. Sections of this Agreement that by their nature should survive termination (including content licenses you have granted, disclaimers, limitations of liability, and dispute terms) will continue to apply.
7. Your content & license to us
You keep ownership of the ideas, text, and other content you create or submit on the Service ("Your Content"). To operate the Service, you grant IdeaZation a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (for formatting and display), transmit, and display Your Content solely for the purposes of providing, securing, maintaining, and improving the Service and making Your Content available to the collaborators you choose. This license ends when you delete Your Content or your account, except for content already shared with collaborators, and for reasonable residual copies retained in backups for a limited time.
You represent that you have the rights necessary to submit Your Content and to grant this license, and that Your Content does not violate these Terms or any law. We are not obligated to monitor content, but we may review, remove, or restrict content that we believe violates these Terms. If you send us suggestions or feedback, you grant us permission to use them without restriction or obligation to you.
8. Our intellectual property
The Service — including the IdeaZation name, logo, software, design, and all related intellectual property (excluding Your Content) — belongs to IdeaZation and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse-engineer or attempt to extract its source code, except where the law permits.
9. App stores & third-party terms
When you download our mobile app from the Apple App Store or Google Play, your use is also subject to that store's terms. The following applies to the extent you use the iOS app and is required by Apple:
- This Agreement is between you and IdeaZation only, and not with Apple. Apple is not responsible for the app or its content.
- Apple has no obligation to provide any maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, or intellectual-property claims.
- Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
- You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.
The Service may also link to or rely on other third-party services, which are governed by their own terms and privacy policies.
10. Privacy
Our Privacy Policy explains how we collect, use, and protect your information and is incorporated into these Terms by reference. By using the Service, you also agree to the practices described in the Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF DATA LOSS, OR THAT IT WILL MEET YOUR REQUIREMENTS. ANY DECISIONS YOU MAKE BASED ON THE SERVICE ARE YOUR RESPONSIBILITY. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEAZATION AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless IdeaZation and its operator from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or any law or third-party right.
14. Governing law & disputes
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in King County, Washington will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to their jurisdiction and venue, unless a mandatory law in your place of residence gives you the right to bring a claim elsewhere. Before filing any claim, you agree to first contact us at support@theideazation.com and try to resolve the matter informally. Any claim must be brought within one year after it arises, to the extent permitted by law.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service and may delete your account.
16. Ending your account
You may stop using the Service at any time. You can delete your account from within the app or by emailing support@theideazation.com. Deleting your account will remove your personal information as described in our Privacy Policy.
17. General terms
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and IdeaZation regarding the Service and replace any prior agreements.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices to you through the Service or the email associated with your account.
